Eagles Board of Advisors Bylaws
Article I - Mission

Section 1:
The FGCU Eagles Club exists to assist Florida Gulf Coast University and its Athletic Department when requested in such areas as promotion, special projects and funding recruiting, all within the guidelines, rules and regulations of the Atlantic Sun Conference and the National Collegiate Athletic Association. It shall support the University and its athletic programs by raising funds, promoting, fostering interest among alumni and friends of the University and any other ways consistent with the mission of the organization and Florida Gulf Coast University.

Section 2:
The Club's membership is comprised of those who are supportive of the foregoing objectives. The membership in general and the directors and officers in particular agree to abide by all rules and regulations of the National Collegiate Athletic Association and any athletic conference to which the University belongs.


Article II – Membership

Section 1: Eligibility
Any individual, firm, association, corporation, partnership or other entity having a supportive interest in the objectives of the FGCU Eagles Club may be eligible to apply for membership. Membership in the FGCU Eagles Club shall be for one (1) fiscal year shall be provided upon either of the following:

A cash donation in amounts set by the Advisory Board, made payable to the FGCU Eagles Club and sent to the Athletic Department, Florida Gulf Coast University, Ft. Myers, FL 33965:

OR

A donation of merchandise or services to be approved and evaluated by the Associate Athletic Director and confirmed by the Vice President of University Advancement.

Section 2: Categories of Membership
Categories of membership representing different levels of donation shall be determined by the Advisory Board. Members will be listed in various FGCU Eagles Club publications and the University basketball program.


Article III - Board of Directors

Section 1: Composition
The Advisory Board shall be comprised as follows:

A. Elected Advisory Board Members: There shall be sixteen (16) elected advisors, eight (8) of whom will be elected each year for a two-year term. Advisors may only be elected to three (3) consecutive two-¬year terms.

B. Appointed Advisory Board Members: The President of Florida Gulf Coast University may appoint one (1) Member, the Chair of the Eagles Club may appoint one (1) Member and the Athletic Director may appoint one (1) member. The appointed member shall serve during the fiscal year in which they are appointed and serve at the discretion of the person appointing them.

C. Ex-Officio Board Members: The Florida Gulf Coast University faculty athletics representative, the Director of Athletics, the Associate Athletic Director - Senior Woman Administrator, the Associate Athletic Director for External Affairs and the immediate past chair shall serve as ex-officio members. The representative of the radio station having exclusive broadcast rights to the men's basketball games, and the representative of the local television station having exclusive television broadcast rights to the men's basketball games may be invited to serve as ex-officio members to be elected in the same manner as other members for the fiscal year in which they were elected. If the same company has exclusive broadcasts rights to men's basketball games for radio and television, there shall be only one ex-officio member elected to represent said company.

D. Term Limitation for Elected and Board Members. Except for those Members appointed by the President of Florida Gulf Coast University pursuant to Article III, Section I, Paragraph B, and appointed or elected Member may not serve as a Member for more than seven (7) consecutive years or, in the case of those elected from the past Members' pool, for more than the length of the single two-year term. After serving seven (7) consecutive years or a single term as a past Member such member may not be reappointed or reelected to the Board until the lapse of one (1) year. Specifically exempted from this limitation is the Chair who shall serve during his or her term in office and as an ex-officio Member as the past Chair.

Section 2: Eligibility
All board members must join the FGCU Eagles Club.

Section 3: Authority and Responsibility
The authority of the FGCU Eagles Club and control of its operation is vested in the Board of Advisors. The Board has responsibility for the policy, by-laws and program of work subject to review and approval by the Board of Trustees of Florida Gulf Coast University.

Section 4: Meetings and Attendance
Regular meetings shall be held at a time and place designated by the Board. Special meetings may be called by the Chair, Director of Athletics or by written request of at least one-third of the members. Each member shall be provided twenty-four hours' notice of any special meeting.

A member’s absence from three consecutive regularly scheduled meetings or absence from one-third of the regularly scheduled Board meetings during any 12 month period shall be considered a resignation from the Board unless the Board, upon recommendation from the President, deems the reason given for the absence sufficient. The Chair shall notify a member of the by-law attendance obligation after the member misses two consecutive regularly scheduled meetings. The Chair shall also notify any member whose resignation has become effective due to the by-law attendance obligation.

Section 5: Quorum
Fifty percent of the members shall constitute a quorum. The full powers of the Board are vested in the quorum, except that amendments to by-laws shall be governed by the provision of Article VII hereafter.

Section 6: Vacancies
The Board shall have the power by majority vote to fill any vacancies occurring on the Board.

Section 7: Executive Committee
The Executive Committee shall be comprised of the Chair, the three Vice-Chairs, the Treasurer, the Secretary, the immediate past Chair, the Director of Athletics, the Associate Athletic Director - Senior Woman Administrator, the Associate Athletic Director for External Affairs and one of the University representatives to be designated by the University President. The Executive Committee is authorized to exercise the powers of the Board between regularly scheduled Board meetings and shall report its action at the next Board meeting. Executive Committee meetings may be called by the Chair of the FGCU Eagles Club or the Director of Athletics. Fifty percent of its members shall constitute a quorum.

Section 8: Nominating Committee
The Nominating Committee shall be composed of the Chair, Director of Athletics, immediate past Chair and three members, one of whom shall be a University representative to be designated by the University President. It shall report its nominations for Board membership and Chair of the Board at the April Board meeting. Other nominations may be made by any member, if properly seconded. The election shall occur at the regular May Board meeting.


Article IV -- Officers

Section 1: Officers
The officers of the Club shall be the Chair, three Vice-Chairs, Secretary and Treasurer. The Chair and three Vice-Chairs shall be from the sixteen elected members. Individuals elected as Members from the past Chairs’ pool may not serve as an officer during their two-year term.

Section 2: Election and Appointment of Officers
The Board of Advisors, at the last meeting of the fiscal year, shall elect a Chair from its membership. The Chair shall appoint the other officers.

Section 3: Terms
All officers shall be elected or appointed for a term of one year to run concurrently with the University fiscal year. There shall be no limit to the number of terms a person may hold office except that an incumbent Chair shall not be re-elected to more than one consecutive term.

Section 4: Duties of officers:
Chair: Shall preside over all meetings of the membership, Board of Directors and Executive Committee.

Vice Chair for Activities: Shall be responsible for all Club social functions, bus trips, banquets, luncheons, after game functions and similar activities.

Vice Chair for Membership: Shall serve as Chairman of the Membership Committee and is responsible for obtaining new members, retaining old members, and recommending to the Board the various classes of membership and their benefits.

Vice Chair for Special Projects: Shall have responsibility for any raffles, auctions, golf outings and similar fund raising projects as designated from time to time by the Board.

Secretary: Shall keep minutes and notes of all meetings and current mailing addresses of the membership or may assign these tasks to the FGCU Eagles Club Secretary.

Treasurer: Shall present periodic financial reports to the Board of Directors.


Article V - Committees

Section 1: Establishment
The Chair may establish, subject to confirmation by the Board, such committees as may be necessary from time to time to accomplish the goals and objectives of the Club.

Section 2: Limitation of Authority
A committee shall not, of its own action, commit the Club to any policy or issue public statements without prior Board approval.


Article VI - Budget and Finance

Section 1: Budget
The budget shall be prepared by the Director of Athletics, with consultation with the President of the University, reviewed by the Executive Committee and submitted to the Board for approval and adoption.

Section 2: Membership Dues
Membership dues are made payable to Florida Gulf Coast University and will be maintained in a FGCU Eagles Club restricted gift account by the Vice Chair of Advancement and Vice Chair, Business Affairs of the University. The Treasurer will keep adequate books and make an annual financial report to the directors.

Section 3: Use of Funds
The Club shall use its funds only to accomplish the objectives referred to in Article I. Funds in the FGCU Eagles Club account may be expended for specific purposes as recommended by the Director of Athletics with approval by a majority vote of those present at a regular or special meeting of the Board. The Director of Athletics or the Club Chair and Director of Athletics may, at their discretion, approve expenditures not to exceed $500 without approval of the Board.

Section 4: Limitation
Under no circumstances may any FGCU Eagles Club money be spent for any purpose or activity not in compliance with regulations and rules of the National Collegiate Athletic Association and any athletic conference to which the University may belong, all expenditures must have the approval of the Director of Athletics.

Section 5: Dissolution
Upon dissolution of the Club, any funds remaining shall be distributed to Florida Gulf Coast University.


Article VII - Parliamentary Procedure

Section 1: Procedure
Unless otherwise provided herein, the proceedings of all meetings of the Board of Directors, Executive Committee or other committees shall be conducted according to these By-laws and the latest edition of Roberts Rules of Order. Article VIII - Amendments Section 1: Revisions The By-laws may be amended or altered by two-thirds vote of the directors present at a meeting at which a duly constituted quorum is present. Such amendments are subject to approval by the Director of Athletics, the President of the University and the Board of Trustees of the University prior to implementation.

Section 2: Board of Trustees Authority
The By-laws of the FGCU Eagles Club must be approved by the Florida Gulf Coast University Board of Trustees.
